1.0 General 1.1 Definitions: “The Company” means Charisma Information
Limited. “The Buyer” means the person, firm or company ordering
or buying the goods from the company. “The Goods” means the
products or subject matter of the relevant order of sale. “The Price
List” is the list of goods and their relevant sales price in £ Sterling
published by the company on the first of each calendar month, or
at other intervals as required by the company.
1.2 The company reserves the right to reject any order received for
goods. Any order received that amends these terms is subject to
written acceptance by the company.
2.0 Price 2.1 Unless otherwise stated any prices quoted by the company
are: Exclusive of value added tax and any other taxes. Exclusive of
carriage, packing and insurance. Exclusive of any release
certificates. And the company shall charge extra in respect of the
above items.
2.2 Delivery charges are charged at Amtrak rates. Expedited
deliveries may incur additional charges, which will be agreed in
advance between the company and the buyer.
3.0 Payment & Title 3.1 The goods remain the property of the company until all due
funds relating to the goods have cleared. The following may make
payment: cash; personal cheque; company cheque; bankers draft;
cashier’s cheque or electronic transfer of funds into an account
nominated by the company.
3.2 The buyer agrees that the company or its representatives may
enter the buyer’s premises at any reasonable time in order to
recover goods originally supplied by the company for which
payment is outstanding beyond any previously written, agreed
credit term.
4.0 Telephone orders 4.1 The Customer agrees to send the company a written order in
confirmation at any telephoned orders duly marked with any
confirmation reference given by the company otherwise the
company cannot accept liability for any duplication of delivery that
may occur.
5.0 Returns 5.1 Goods supplied in accordance with the Contract cannot be
returned without the Company’s prior written authorisation.
Authorisation will be issued upon receipt of a RMA form.
Authorised returns shall be sent to the Company’s premises at the
Buyer’s expense and must be clearly marked externally with the
RMA number.
6.0 Your Right to Cancel 6.1 You have the right to cancel the contract at any time up to the
end of 7 working days after you receive the goods if and only if you
have bought the product by mail order. In this condition you may
return the goods without reason. You will be responsible for the
cost and the safe return of the products. Once the product is
returned and are in a good condition for resale, a refund of the
purchase price will be made within 30 days, unless the products
have been misused, or are in a condition that warrant the product
non-saleable. Risk of damage to the returned products lies with
you all the times. No refund will be made for the charges levied.
6.2 You must let us know of your decision to cancel the contract
within 7 working days and any notification must be in writing and
sent by e-mail, post or fax. Notification by Telephone is not
sufficient.
6.3 You do not have the right to cancel the contract if the order is
for computer software, or for consumable goods which, by their
nature, cannot be returned. (Products with On-Site Warranty and
Digital Cameras are not refundable.)
6.4 You do not have the right to cancel the contract if you bought
the product over the counter. We charge 20% restocking fee for
any returns of any product that was bought over the counter unless
faulty.
6.5 OUR COMPANY WILL NOT TAKE ANY RESPONSIBILITY
ABOUT ANY KIND OF SOFTWARE, DRIVERS, VIRUS RELATED
PROBLEMS & INCOMPATIBILITY
7.0 Defective Products 7.1 All products supplied by the company are supplied with oneyear
warranty. Defective goods may be returned to the supplier at
the buyer’s expense, and the company may replace, issue a credit
note or repair the goods at the company’s discretion within a
specified time period. The company is not responsible for goods
returned to us that are lost, or further damaged in transit.
7.2 Defective goods returned under clause 8 must be returned with
original packaging, a copy of the original invoice and in a clean,
and resale able condition. Goods returned otherwise will, at our
discretion, either be refused or subject to restocking fee (20%) to
cover our expense.
8.0 Delivery 8.1 Order placed before 4:00 pm (on a working day) will be
processed that day and will be delivered as per the requested
delivery option provided no additional checks are required and all
stocks are available.
8.2 The company will make its best endeavours to deliver all goods
as instructed by the buyer. The company will not be responsible for
late deliveries outside of its control, howsoever caused.
8.3 If you deliberately fail to take delivery of the goods (otherwise
than by reason of circumstances under control of the Company)
then without prejudice to any other right or remedy available to it ,
the Company may: store the goods until actual delivery and charge
you for reasonable costs (including insurance) of storage; or sell
the goods at the best readily obtainable price and (after deducting
all reasonable storage and selling expenses) account to you for
any excess over the price you agreed to pay for the goods or
charge you for any shortfall below the price you agreed to pay for
the goods.
8.4 The buyer shall inspect all goods immediately they are
delivered to him. The company reserves the right to reject claims
incorrect delivery 24 hours after the due date for delivery.
8.5 Upon receipt of your order you will be asked to sign for the
goods received in good condition. If you are unable to check the
contents at the moment of delivery, please sign for the parcel as
"UNCHECKED". Failure to do so may affect any warranty claims
thereafter.
9.0 Force Majeure 9.1 The company reserves the right to cancel, suspend or vary the
operation of contact of sale if events occur which are in the nature
of force majeure including (without prejudice to the generally of the
foregoing) fire, flood, storms, plant breakdown, strikes, lock outs,
riot, hostilities, non-availability of material or suppliers or any other
event outside the control of the company. And the company shall
not be held liable for any breach of contract from such an event.
10.0 Copyright, patents, trademarks, intellectual property right 10.1 The customer acknowledges that in respect of trade marks,
trade names copyrights, patents and other intellectual property
rights connected with the goods do not pass to the customer. The
customer agrees to indemnify the company against all liabilities,
costs and expenses which the company may incur as a result of
work done in accordance with the customers specifications which
involve infringement of any patent or other proprietary
11.0 Law 11.1 These conditions of sale shall be constructed in accordance
with English Law.
12.0 Warranty 12.1 All Charisma Systems come with 5 year Return to Base
warranty which covers first one year parts and labour and the
following 4 years labour only.
12.2 All hardware supplied by Charisma Information Ltd. beside
Printers, Scanners, Monitors, comes with 12 months Return to
Base Warranty. Printers, Scanners and Monitors are supplied with
On-Site Warranty given by the manufacturers. We do not support
or refund these products.
13.0 Surcharge 13.1 We accept Master/Visa/Amex at surcharge 2.5% and cheques
Transax at 1.5% surcharge. Switch/Delta/Connect and Solo
accepted without any charge
